Terms of Service

The Developpy Partners program (the "Program") is operated by Developpy, an independent Shopify product studio based in Italy ("Developpy", "we", "us"). Contact: hello@developpy.io.

The Program is open to agencies, design studios, and freelance developers who build on Shopify and recommend or install Developpy products (currently the Universe theme) for their clients. We may approve or reject applications at our sole discretion. You must be at least 18 years old and legally able to enter into this agreement.

The Shopify Theme Store does not expose referrer identifiers for theme purchases. Attribution is therefore manual: you submit the Shopify invoice for each install via your partner dashboard, and we cross-check it against our Theme Store sales records. We do not accept any other proof of purchase. Duplicate, unreadable, or unverifiable submissions will be rejected.

The Program runs on a single flat commission rate of 20% of the Shopify-invoiced Universe theme price, paid in EUR. There are no tiers, no minimum volumes, and no upper cap. We may change this rate prospectively with at least 30 days' notice; rate changes never apply retroactively to referrals already submitted.

Commissions are paid via PayPal to the email address you provide in your partner profile. We aggregate all approved, unpaid commissions and trigger payouts manually. You are responsible for keeping a valid PayPal email on file. We are not liable for payouts sent to an incorrect PayPal address that you provided.

You are solely responsible for declaring and paying any taxes, social-security contributions, or fees due in your jurisdiction on commissions earned.

• Provide accurate information about your business and PayPal email.
• Submit only referrals where you actually installed or recommended Universe.
• Do not misrepresent Developpy, its products, or this Program.
• Do not engage in spam, paid search bidding on Developpy trademarks, or any deceptive marketing.
• Comply with Shopify's Partner Program Agreement and applicable laws.

Either party may terminate participation in the Program at any time, for any reason. We may suspend or terminate your account immediately for fraudulent activity, breach of these Terms, or behaviour that harms Developpy or its customers. Commissions earned in good faith before termination remain payable.

Developpy retains all rights in its products, trademarks, and brand assets. You are granted a limited, revocable, non-exclusive licence to refer to Developpy and Universe for the purpose of promoting installs to your clients. You may not modify our logos or create derivative branding without prior written consent.

The Program is provided "as is". To the maximum extent permitted by law, Developpy disclaims all warranties and limits its aggregate liability under these Terms to the total commissions paid to you in the twelve months preceding the event giving rise to the claim.

These Terms are governed by the laws of Italy. Any dispute arising from or in connection with this Program shall be subject to the exclusive jurisdiction of the competent courts of Italy.

We may update these Terms from time to time. Material changes will be communicated by email to your registered partner address at least 14 days before they take effect. Continued participation in the Program after that period constitutes acceptance.
